Terms of Service for IdeaWhisper

Welcome to IdeaWhisper ("us", "we", or "our"). These Terms of Service ("Terms") govern your use of our website, located at [Web Sitenizin Adresi, örn: ideawhisper.com], and our web application (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. USING OUR SERVICE

IdeaWhisper provides a platform for facilitating idea generation and brainstorming sessions. You agree to use the Service only for lawful purposes and in accordance with these Terms.

Eligibility: You must be at least 13 years old to use the Service (or older if required by your local law).
Free Tier: We offer a free tier that allows moderators to conduct a limited number of sessions (e.g., up to 5 sessions as per our current offering). We reserve the right to change the limits and features of the free tier at any time.
Pro Accounts: For extended use and additional features, users may upgrade to a Pro account by providing an email address and completing the payment process through our third-party payment processor, Lemon Squeezy. Pro accounts are subject to the terms of the selected subscription plan.
Moderator Responsibilities: If you are a moderator, you are responsible for the content of your sessions, including prompts and inspiration cards you create, and for how you manage participant interaction and data (including exporting session data).
Participant Conduct: If you are a participant, you agree to use the Service respectfully and contribute constructively. You are responsible for the ideas and content you submit.

2. ACCOUNTS (PRO USERS)

If you create a Pro account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service (if password-based login is implemented for Pro users beyond simple email identification) and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. CONTENT

Our Service allows moderators and participants to post, link, store, share and otherwise make available certain information, text, graphics, or other material ("Content").

Your Content: You retain ownership of any intellectual property rights that you hold in your Content. When you upload, submit, store, send or receive Content to or through our Service, you give us (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such Content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving our Services, and to develop new ones. This license continues even if you stop using our Services (for example, for Session Content that has been exported by a moderator).
Prohibited Content: You agree not to post Content that is illegal, obscene, defamatory, threatening, infringing of intellectual property rights, invasive of privacy, or otherwise injurious to third parties or objectionable.
Content Removal: We reserve the right, but not the obligation, to remove or edit Content that violates these Terms or that we otherwise deem to be inappropriate, without notice.

4. PROHIBITED USES

You may use the Service only for lawful purposes and in accordance with Terms. You agree not to use the Service:

In any way that violates any applicable national or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate IdeaWhisper, an IdeaWhisper employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm IdeaWhisper or users of the Service or expose them to liability.
To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

5. PAYMENTS AND SUBSCRIPTIONS (PRO ACCOUNTS)

Pro accounts are billed on a subscription basis. You will be billed in advance on a recurring, periodic basis (such as monthly or annually), depending on the subscription plan you select when purchasing a subscription.

All payments are processed through Lemon Squeezy, our third-party payment processor. By submitting your payment information, you grant us the right to provide the information to Lemon Squeezy to facilitate the completion of your purchase. Lemon Squeezy’s terms and privacy policy will also apply.

We reserve the right to change our subscription plans and aşına or the pricing of our Service. Any price changes or changes to your subscription plan will apply no earlier than 30 days following notice to you.

6. TERMINATION

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your Pro account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. INTELLECTUAL PROPERTY

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of IdeaWhisper and its licensors. The Service is protected by copyright, trademark, and other laws of both [Senin Ülken] and foreign countries.

8. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. IDEAWWHISPER MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS.

IN NO EVENT SHALL IDEAWWHISPER, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Türkiye, without regard to its conflict of law provisions.

10. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
